IN THE HIGH COURT OF JUDICATURE AT MADRAS
N. Sathish Kumar, J.
Tuticorin Port Trust (V.O.Chidambaranar Port Trust), Tuticorin - Petitioner
Versus
M/s. Jan De Nul Dredging India Pvt. Ltd., Chennai & Others - Respondent
O.P. No. 152 of 2015
Decided On : 10-09-2019

Advocates Appeared:
For the Petitioner:Yashodvardhan, S. Yashwanth, Advocates.
For the Respondents:Jose John for M/s. Kindgs & Patridge, Advocates.

The main legal point established in the judgment is that the interpretation of contractual clauses and the application of contract terms play a crucial role in determining the entitlement to claims and interest payments in arbitration disputes.

Headnote:

Arbitration and Conciliation Act - Tuticorin Port Trust - Section 34 of the Arbitration and Conciliation Act, 1996 - Summary of Acts and Sections: The court discussed the Major Port Trust Act 1963, Indian Companies Act 1956, and various clauses of the contract including Clause 10, Clause 14.1, Clause 44, and Clause 57.1. The court also referred to Clause 38 of Section 3 of the contract. The court analyzed the legal provisions related to reimbursement of charges, soil conditions, customs duties, reclassification of works, equipment idling, and interest payment.

Fact of the Case:

The Tuticorin Port Trust filed a petition under Section 34 of the Arbitration and Conciliation Act, 1996 to set aside an arbitral award. The dispute arose from a contract for deepening the channel and basin at Tuticorin Port. The claimant raised multiple claims, some of which were allowed by the arbitrators. The petitioner challenged the award, primarily focusing on the claim related to equipment idling due to the respondent's failure to provide possession and access to the site.

Finding of the Court:

The court found that the contract did not restrict the use of more than one dredger, and the choice of technology and equipment was left to the contractor. The court upheld the arbitrators' decision to allow the claim for equipment idling, as it was in accordance with the contract and the evidence presented. The court also rejected the petitioner's request to reduce the interest awarded by the arbitrators.

Issues: The issues included the entitlement to various claims, such as reimbursement of charges, soil conditions, customs duties, reclassification of works, equipment idling, and interest payment. The court also considered the applicability of specific clauses in the contract and the defense raised by the respondent.

Ratio Decidendi: The court's decision was based on the interpretation of the contract, specifically the clauses related to equipment deployment, work conditions, and payment terms. The court upheld the arbitrators' findings and rejected the petitioner's contentions, emphasizing that the award was in line with the contractual provisions and the evidence presented.

Final Decision: The Original Petition filed by Tuticorin Port Trust was dismissed by the court, and no costs were awarded.

JUDGMENT :

Prayer: Petition filed under Section 34 of the Arbitration and Conciliation Act, 1996 praying to set aside the Award dated 18.10.2014 insofar as it allows the claim No.3,4,5,6,7,9 and 10 vide “Part L” of the award amounting to Rs.426,883,388/- passed by the Respondents 2 to 4 along with costs.
