JUDGMENT

1. This is an appeal under Section 202, Companies Act, by the Official Liquidator against the order dated 7-3-1952 passed by the District Judge, Nagpur, removing him from the office of the liquidator of the company known as the Bharat Refrigeration Corporation Limited, Nagpur, under liquidation and appointing the first Respondent Shri Anupsingh Bedi as the liquidator under Section 175 of the Act.

2. It appears that at the instance of Shri Dinkar Wasudeo Mandpe, a share-holder and a director of the Company aforesaid, the District Judge by his order dated 18-2-1952 ordered the winding up of the Company. The application by Shri Mandpe was opposed, and after hearing the parties the Court came to the conclusion that it was in the interests of the Company that an order of compulsory liquidation should be passed, it appears that Shri Anupsingh Bedi (the first Respondent) is the Chairman of the Board of Directors of the Company and Messrs. Bedi and Company, Limited, are the Managing Agents thereof. The paid-up capital amounts to Rs. 1,21,290. Within a few years of the launching of the Company, it appeared that it could not carry on business in a profitable way. As a matter of fact,
