2024 Supreme(Online)(GAU) 7132

HIGH COURT OF GAUHATI
MR. JUSTICE DEVASHIS BARUAH, J
PRADIP KUMAR ROY AND 3 ORS. – Appellant
Versus
THE STATE OF ASSAM AND 5 ORS – Respondent
WP(C) / 4546 / 2024

Advocates:
Mr. MU Mondal, Mr. RB Goswami

The court held that grievances regarding financial statements of a Cooperative Society can be raised at the AGM, and alternative remedies exist under the Assam Cooperative Societies Act, 2007.

Headnote:(A) Assam Cooperative Societies Act, 2007 - Section 30 - Writ petition filed by members of a Cooperative Society challenging the holding of the AGM without proper audit reports and balance sheets - Petitioners alleged misappropriation of funds amounting to Rs.13,40,000/- by ex-officials, but no action taken by authorities - Court held that grievances regarding financial statements can be raised at the AGM and subsequent remedies are available under the Act. (Paras 3, 4, 8, 9)

(B) Jurisdiction under Article 226 - Court found no merit in exercising jurisdiction as petitioners have alternative remedies available under the Act of 2007. (Paras 9, 10)

Facts of the case:
Petitioners are members of a Cooperative Society and sought to halt an AGM scheduled for 07.09.2024, claiming that it would proceed without proper financial documentation, affecting their rights as shareholders. They had previously filed an FIR regarding misappropriation but received no response. (Paras 3, 4)

Findings of Court:
The court noted the Act facilitates democratic functioning and that any grievances regarding financial matters could be raised during the AGM or with the Registrar of Cooperative Societies post-AGM. (Paras 8, 9)

Issues: The main issue was whether the AGM could be held without proper financial documentation and the implications for the petitioners' rights. (Paras 4, 8)

Ratio Decidendi: The court determined that the petitioners have sufficient avenues to address their grievances post-AGM, emphasizing the importance of democratic processes within the Cooperative Society. (Paras 8, 9)

Result: Writ petition dismissed.
