URVASHI SAGAR – Appellant
Versus
IMPERIAL FASTNERS PRIVATE LIMITED – Respondent
CP - 187/2020

Advocates:
For the Petitioner:August Attorneys LLP

The Tribunal ruled that the petitioner lacked locus standi under the Companies Act, and the issues raised were beyond its jurisdiction, requiring detailed evidence not suitable for summary adjudication.

Headnote:(A) Companies Act, 2013 - Sections 241, 242, and 244 - Petition for oppression and mismanagement - Petitioner sought to quash illegal share transfers and recover funds from the Respondents, alleging mismanagement following the death of her husband, a shareholder - Tribunal found the Petitioner lacked locus standi and the petition was not maintainable as it involved civil rights and not oppression - The Tribunal ruled that the issues raised required examination of evidence beyond its jurisdiction. (Paras 1, 3, 6, 7, 14)

(B) Jurisdiction of Tribunal - The Tribunal cannot adjudicate issues of fraud, manipulation, and coercion in a summary jurisdiction, requiring detailed evidence and examination. (Paras 6, 12, 13)

Facts of the case:
The Petitioner, a shareholder and legal heir of the deceased, alleged illegal transfer of shares and funds by the Respondents, who are also directors of the company. The Petitioner claimed oppression and mismanagement following her husband's death. (Paras 1, 2)

Findings of Court:
The Tribunal concluded that the Petitioner did not meet the statutory requirements to file the petition and that the issues raised were beyond its jurisdiction. (Paras 6, 14)

Issues: Whether the Petitioner had locus standi to file the petition and whether the Tribunal had jurisdiction to hear the case. (Paras 6, 7)

Ratio Decidendi: The Tribunal held that the Petitioner failed to establish her standing under the Companies Act and that the allegations of fraud and mismanagement required detailed evidence, which the Tribunal could not assess. (Paras 6, 14)
