Per: K. Biswal, Member (Judicial) 1. The present first motion Application has been filed on 31.10.2023 by the Applicant Companies, M/s. Ayana Ananthapuramu Solar Private Limited (described in short as “Applicant Company No.1/Transferor Company”) and M/s. Ayana Renewable Power Private Limited (described in short as “Applicant Company No.2/Transferee Company”), U/ss. 230 to 232 and other applicable provisions of the Companies Act, 2013 (hereinafter referred to as the Act), inter alia, seeking for dispensation with meetings of the Equity Shareholders, Secured and Unsecured Creditors of the Applicant Companies and Compulsorily Convertible Debenture Holders of the Transferor Company. The Scheme of Arrangement and Amalgamation is placed on record at page no.50 of the Application. 2. The Applicant Company No.1/Transferor Company, namely M/s. Ayana Ananthapuramu Solar Private Limited was incorporated on 26.06.2018, under the provisions of the Companies Act, 2013 bearing CIN:
