I.1. This application is filed under Section 230 of the Companies Act, 2013 (hereinafter referred to as "the Act, 2013"), read with the Companies (Compromises, Arrangements and Amalgamation) Rules, 2016, by 1. Aspiring Enterprises Private Limited,

Meghana Steel Enterprises Limited, 8. Yalamanchili Finance and Trading Private Limited, 9. SCM Infra Developers Limited, 10. Sujana Power (India) Limited, 11. Swain Finance And Trading Private Limited, 12. Sujana Projects Limited, 13. Info Tech Infin And Trading Private Limited, 14. Sony Projects Private Limited (hereinafter referred to as Transferor Companies) with 15.Golkonda Finance and Trading Private Limited (hereinafter referred to as Transferee Company) with effect from the Appointed Date and consequent issue of equity shares/NCD by the Transferee Company to the shareholders of the Transferor Companies.

This Joint Petition is filed by the Petitioner Companies under Section 230 read with 232 of the Companies Act, 2013 and other applicable provisions of the by inter-alia seeking approval for Scheme of Amalgamation between the Petitioner Companies and their respective shareholders, creditors so as to be binding on all the members, shareholders, creditors and employees of all the Petitioner Companies and all concerned.

II. DESCRIPTION OF THE COMPANIES

1. Aspiring Enterprises Private Limited was incorporated as a Private Limited Company under the provisions of Companies Act, 1956 on 23rd February, 2000 with vide Corporate Identification Number (CIN) U29308TG2000-PTC067160 in the State of Telangana and the PAN of the Company is AACCA7306E (Hereinafter referred to as the “Transferor 1 Company/AEPL”).

The Registered office of the Transferor 1 Company is situated at H.No:10-1-126, Plot No.124, Prashasan Nagar, Road No.72, Jubilee Hills, Hyderabad, Telangana-500033, India.

The main objects of the Transferor 1 Company are as follows:

a. To purchase, or otherwise acquire, manufacture, blend, experiment with, market, distribute, supply, sell and otherwise dispose off, import, export and trade and generally deal in household and domestic appliances such as Electrical Fans, Air Coolers, Washing Machines, Water Heaters, Electric Iron Boxes, Mixes, Wet Grinders, Air-Conditioners, Ovens, Hot Plates, Pressure-Cookers, Bottle-Coolers, Water filters, Tube light fittings, Voltage Stabilizers, Refrigerators and accessories and spare parts used in the maintenance and manufacture of aforesaid products.

b. To carry on India or elsewhere the business as traders, dealers distributors, exporters, importers, stockiest, buyers, sellers, agents or merchants, consultant, broker or otherwise deal in all shapes, sizes, uses, capacities, specifications, description and varieties of products whether made of Iron and Steel or in Combination with any ferrous and non ferrous materials such as plants, machineries, tolls, jigs, dies, moulds, reciprocals, equipment’s, instruments, apparatus, utensils, accessories, fittings, hardware’s, sanitary fixtures, pipes, ducting, packing materials, engineering goods used in any industry, trade, commerce, public welfare, transport, vessels, defence, agriculture, pollution or in any other field.

c. To carry on and understand the business of Export, Import, Trading of products, commodities of all types and merchandise of all kinds and act as liaison agents, export house/sole export house for various manufacturers, traders and producers in the country or abroad and to act as trade representatives, sol distributors and marketing agents for Foreign Company/Agencies in respect of equipment spare parts, turnkey projects, manpower, and to provide Finance for Export/Import business and act as consultants, advisors, retainers or agents for all those engaged in Export/Import of various commodities including
