ORDER

1. This petition has been filed under Sections 241 and 242 of the Companies Act, 2013 , seeking the following reliefs:

a) Declare that Respondents 2, 3, and 4 are as oppressors and acting against the interest of R1 company;

b) Declare the Board Meetings vide Extra-Ordinary General Meeting (EGM) dated 22.11.2018 and Annual General Meeting dated 29.11.2018 are illegal, null, and ab initio void;

c) Declare the increase in share capital of R1 company from 50,000 shares to 1,50,000 shares vide Extra-Ordinary General Meeting dated 22.11.2018 and confirmation vide Annual General Meeting dated 29.11.2018 as illegal, null, and ab-initio void;

d) Pass an order declaring the allotment of 90,258 shares to Respondent No.2 vide Extra-Ordinary General Meeting dated 22.11.2018 as illegal, null, and void ab initio;

e) Declare the amendment of Article 3(a) of the Articles of Association of R1 Company vide Extra Ordinary General Meeting Dated 22.11.2018 as illegal, null and void ab initio;

f) Remove R3 and R4 as directors of R1 company and declare their non-directorship effective 22-11-2018; and

g) Declare the resolutions passed by the board of R1 company from 22-11-2018 till date as illegal, null, and
