ORDER

1. Heard the learned Counsel for the Applicant Companies.

2. The present scheme is a Scheme of Amalgamation sought under Section 232 r/w Section 230 of the Companies Act, 2013 and other Applicable provisions of the Companies Act, 2013 amongst Goldmedal Electro Private Limited, (First Transferor Company); Sambhavnath Pvc Pipe India Private Limited, (Second Transferor Company) with Goldmedal Electricals Private Limited, (Transferee Company) and their respective shareholders.

3. The Board of Directors of Transferor Companies and the Transferee Companies at its respective Board Meetings held on 19^th November, 2024 approved the Scheme. The appointed date of Scheme of Amalgamation is 1^st April, 2025.

4. The Rationale for the Scheme as:

(i) Goldmedal Electro Private Limited, the First Transferor Company is a Wholly Owned Subsidiary of Goldmedal Electricals Private Limited. Sambhavnath PVC Pipe India Private Limited, the Second Transferor Company and Goldmedal Electricals Private Limited, the Transferee Company have the same set of shareholders holding the shares in the same proportion. All the three Companies are owned, promoted, managed and controlled by the same family group.
