1. The present scheme is a Scheme of Amalgamation of LMCS Infra Holdings Private Limited (“Transferor Company”) with LMCS Maritime Private Limited (“Transferee Company”) and their respective shareholders and creditors with effect from appointed date (hereinafter defined) and upon occurrence of effective date (hereinafter defined). In addition, this scheme of Amalgamation also provides for various other matters consequential or otherwise integrally connected therewith.
