ORDER
1. This First Motion Company Application is a Scheme of Amalgamation (Scheme) between Sleep Management Private Limited (Transferor Company), and Springwel Mattresses Private Limited (Transferee Company) (Applicant Companies) under the provisions of Sections 230- 232 and other applicable provisions of the Companies Act, 2013 (Act) read with the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016 (CCAA Rules).
2. The registered offices of both the Applicant Companies are situated in the State of Maharashtra and thus, the subject-matter of this Company Application is within the territorial jurisdiction of this Tribunal.
3. The Applicant Companies state that the respective Board of Directors of the Applicant Companies in their respective Board meetings held on 28.09.2024 have respectively approved the proposed Scheme. Certified true copies of the Board Resolutions have been placed on record.
4. It is further submitted that the First Applicant Company is engaged in the business of manufacturing, distribution, marketing and/or sale of mattresses, pillows, throws, crib sheets, dog beds and other ancillary products including comfort products for home, babies and dogs; and the Second Applicant Company is engaged in business of manufacturing, sale and/or trading of mattresses – branded and unbranded, and owned and licensed; (ii) manufacturing, sale and/or trading of foam, EPE and allied products; and (iii) manufacturing, sale and/or trading of mattresses, comforters, mattress protectors, duvets, bedsheets, quilts, latex accessories, all types of pillows, beds, sofas, sofa cum beds, blinds, mirrors, murals, cushions, wedges, recliners, foldable beds, bed headboards, and back support accessories, supporters, toppers which are confined to the home comfort segment.
5. The Appointed Date fixed under the Scheme is 01.02.2025.
6. The Ld. Counsel for the Applicant Companies submitted that the Amalgamation of the Transferor Companies with the Transferee Company would, inter alia, have the following benefits:
a. The merger of Transferor Company with Transferee Company would result in the emergence of the Transferee company as a consolidated strong entity, which will contribute to the overall growth prospects of the combined entity leading to the increase in shareholder's value for both the Companies.
b. The said scheme will strengthen and consolidate the position of the Transferee company and will enable the Transferee company to increase its profitability.
c. The enhanced financial and operational strengths of the combined entity would enable substantial reduction of costs and the development of a growth driven business portfolio through the effective and efficient deployment of funds.
d. The merger of Transferor Company with the Transferee Company would, thus, result in administrative and operational, organizational efficiencies, competitiveness including complete resources mobilization and rationalization in economies of scale, reduction in overheads and other expenses besides the amalgamation shall result in optimal utilization of various resources.
e. It is considered prudent and more appropriate to consolidate a similar line of business in one entity by eliminating multiple companies in similar business, thus enabling focus on core competencies.
f. The said scheme will have beneficial results for the Companies concerned, their shareholders, employees and all concerned.
