ORDER

1.This is a Joint Petition filed by the Petitioner companies, under Section 232 r/w Section 230 and other applicable provisions of the Companies Act, 2013 , praying for the (a) sanction of Scheme of Amalgamation between M/s. Mahatamil Mining and Thermal Energy Limited, Petitioner 1/Transferor Company 1, M/s. Dikon Infratech Private Limited, Petitioner 2/Transferor Company 2, M/s. Tethys Properties Private Limited, Petitioner 3/Transferor Company 3, M/s. Belinda Properties Private Limited, Petitioner 4/Transferor Company 4, M/s. Mirach Power Limited, Petitioner 5/Transferor Company (Transferor Companies) and M/s. National Energy Trading and Services Limited, Petitioner 6/Transferee Company collectively referred to as (‘Petitioner Companies’) and their respective shareholders and creditors with effect from April 01, 2022 (b) Clubbing of Authorised Capital and (c) Dissolution of Transferor Companies.

2. The Registered Offices of the Transferor Companies and the Transferee Company are situated in the State of Telangana. 3. The facts of the case in brief are as follows:

(a) M/s. Mahatamil Mining and Thermal Energy Limited (Petitioner 1/Transferor Company 1) was originally incorpora
