The court affirmed that actions taken by majority shareholders in companies must not be oppressive to minority shareholders; proper adherence to statutory requirements suffices to negate claims of oppression.
Headnote:(A) Companies Act, 2013 - Sections 241-242 - Oppression and mismanagement - Petitioners alleged acts by majority shareholders were oppressive and prejudicial to minority interests; claimed EGM decisions invalid - Tribunal held that actions taken by Respondents were not oppressive; valuations and meetings held in compliance with statutory requirements - Plaintiffs failed to demonstrate substantial grounds for oppression or mismanagement claims. (Paras 1, 17, 42)
(B) Shareholders' rights - The rights of minority shareholders must be protected against acts of oppression and mismanagement by majority shareholders - The power to regulate share issues lies with directors and must align with the interests of the company. (Paras 19, 29)
Facts of the case:
Petition filed by minority shareholders alleging oppression and mismanagement by the majority shareholders and board. Key issues included the validity of an EGM and share valuation.
Findings of Court:
Tribunal found the majority shareholders acted within legal bounds; petition seeking oppression relief was not substantiated.
Issues: Were the majority shareholders' actions oppressive? Was the EGM valid? Should share valuation be reconsidered?
Ratio Decidendi: Tribunal found that the process followed by Respondents, including share issuance and EGM conduct, complied with statutory guidelines, dismissing claims of oppression.
Result: Petition dismissed.
