ORDER
1. The Senior Advocate for the Petitioner Companies submits that the Petitioner Companies have filed the present Company Scheme Petition seeking sanction to the Composite Scheme of Arrangement among Tata Power Solar Systems Limited (“Petitioner Company 1” / “Transferor Company 1” / “Amalgamating Company 1”), Chirasthaayee Saurya Limited (“Petitioner Company 2” / “Transferor Company 2” / “Amalgamating Company 2”) (hereinafter Petitioner Company 1 and Petitioner Company 2 are collectively referred to as the “Transferor Companies” / “Amalgamating Companies”) and Tata Power Renewable Energy Limited (“Petitioner Company 3” / “Transferee Company” / “Amalgamated Company”) under section 230 – 232 of the Companies Act, 2013 (“Scheme”). Petitioner Company 1 is a wholly owned subsidiary of the Transferee Company and Petitioner Company 2 is a wholly owned subsidiary of Petitioner Company 1.
