ORDER

1. The present First Motion Company Application has been filed under Sections 2 30 to 232 of the Companies Act, 2013 (hereinafter referred to as the "Act") read with the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016 (hereinafter referred to as the "Rules") by Nehru Place Hotels Private Ltd. (hereinafter referred to as the "Applicant No. 1/ Demerged Company") in respect of arrangement/ demerger of Applicant No. 1 with and into Lakewood Estate Private Limited (hereinafter referred to as the "Applicant No. 2/ Resulting Company "). A copy of the above Scheme of Arrangement (hereinafter referred to as the "Scheme") has been annexed as Annexure A-7 of the Application.

2. Applicant No. 1/ Demerged Company has prayed for dispensing with the requirement for convening the meeting of the equity shareholders of the Applicant Company No. 1/ Demerged Company and also to dispense with the requirement of issue and publication of notices for the same. Further, the Applicant No. 1/ Demerged Company has prayed to convene and hold the meetings of the Secured Creditors and Unsecured Creditors of the Applicant Company No. 1/ Demerged Company.
