ORDER

1. The Petitioner is the director and shareholder in Speed Infrastructure Private Limited, R1 Company. The Petitioner claims to hold 3,75,000 equity shares of Rs 10 each, amounting to 7.32% of the total paid-up capital of 51,24,000 equity shares of the R1 Company. The present petition was filed under Section 241 of the Companies Act, 2013 (Act), alleging oppression and mismanagement on the part of the Board of directors.

Undisputed facts

2. The R1 Company was incorporated on 13.06.2003 by R2 with the objective to conduct business in the infrastructure space. Subsequently, R3, R4, one Mr. D. Arjun Rao, and the Petitioner became members and directors of the R1 Company.

3. The R1 Company is the absolute owner and possessor of land admeasuring Ac. 4-29 gts, in Sy. No. 161, 181, 183, 184 and 185 of Kokapet Village, Rajendranagar Mandal, Ranga Reddy District, and wanted to develop the said land as part of its business. The adjoining/adjacent landowners in Sy. No. 158, 161, 162, 167/4, 171 to 187, including the petitioners, wanted to pool their own land with R1 and undertake common development along with R1 Company.
