1. This is an application filed under section 59 of the Companies act seeking final reliefs as follows,
- That the Transfer of share dated 27.07.2012 to Respondent No. 5 be declared fraudulent, illegal, null, and void.
- That the register of members of the 1stRespondent Company be rectified under Section 59 of the Companies Act, 2013 to rightfully mention that the Petitioner is a shareholder to the extent of 100 shares of Rs.10 each bearing distinctive Nos. from 14601 to 14700 under Folio 5 of the Company;
- To direct the Respondents to issue the share certificate to the Petitioner for his holding namely 100 shares of Rs.10 each bearing distinctive Nos. from 14601 to 14700 under Folio 5 of the Company.”

2. It is stated that the R1 Company was originally incorporated as a private limited company on 29.10.1990 under the provisions of the companies Act, 1956 and subsequently converted into a public limited company on 10.07.1997 and once it was converted into a private limited company with effect from 06.12.2012. The main business of the Company is hire purchase and finance.
