2025 Supreme(Online)(NCLT) 4078

NATIONAL COMPANY LAW TRIBUNAL
Shri Rajeev Bhardwaj, J, Shri Sanjay Puri, T
The Income Tax Department Office of the Income Tax Officer, Ward-16(3), Hyderabad – Appellant
Versus
The Registrar of Companies Telangana – Respondent
Company Appeal/30/252/2025

Advocates:
For the Appellant: Ms. B. Sapna Reddy, Junior Standing Counsel of IT Department
For the Respondent: Mr. Ravi Metta, DRoC for RoC office

NCLT affirmed the Income Tax Department's status as a creditor, allowing restoration of a struck-off company for pending tax assessments under Companies Act provisions.

Headnote:(A) Companies Act, 2013 - Section 252(3) - Jurisdiction of NCLT - Restoration of struck off company for tax assessment - The Income Tax Department appealed for the restoration of M/s. Mark Well Software Private Limited’s name to facilitate tax recovery proceedings, asserting income escaped assessment due to non-filing of returns. (Paras 1, 11, 13)

(B) Income Tax Act, 1961 - Assessment proceedings - The Appellant contended that multiple notices under the Income Tax Act went unanswered due to the company's struck-off status, impeding tax recovery; NCLT recognized the department as a ‘creditor’ entitled to restoration for assessment purposes. (Paras 9, 10)

Facts of the case:
The company had been non-compliant for over two years, leading to its name striking off; significant undisclosed income necessitated its restoration to facilitate tax assessments and recover taxes due.

Findings of Court:
The NCLT found it just to restore the company's name for completion of pending assessments and recovery of taxes, given its business engagement at the time of striking off.

Issues: Whether the striking off of a company impedes the completion of tax assessments and recovery actions against it.

Ratio Decidendi: The court ruled that the Income Tax Department qualifies as a ‘creditor’ under Section 252(3) facilitating restoration to recover income due tax assessments.

Result: Appeal allowed and company’s name restored.
