1. Heard the Ld. Sr. Counsel/Counsel for the Applicant.
2. The Company Application vide CA ( CA A) No.99/KB/2025 (‘Company Application’) have been filed in the first stage of proceedings under Section 230 (1) read with Section 232 (1) of the Companies Act, 2013 (“Act”) to obtain orders/ directions with regard to seeking dispensation of meetings of shareholders and creditors in connection with the Scheme of Arrangement proposed to be made between Garden Silk Mills Private Limited, being the Applicant Company No.1 abovenamed (hereinafter referred to as the "Demerged Company") and Garden Silk Fashions Private Limited, being the Applicant No.2 abovenamed (hereinafter referred to as the "Resulting Company") (the “Scheme” or the “Scheme of Arrangement whereby the Demerged Undertaking (Vareli unit focused on the B2C business) of the Demerged Company, as defined in the Scheme, together with all assets, property, rights, powers and all debts, liabilities, duties and obligations of
