ORDER

1. This is an petition filed by Amazon Development Centre (India) Private Limited (hereinafter referred as ‘Petitioner Company’) Under section 66 of the Companies Act, 2013 read with Rule 2 of the National Company Law Tribunal (Procedure for Reduction of Share Capital) Rules, 2016 interalia seeking following reliefs:

a. This Hon’ble Tribunal may be pleased to approve the reduction of equity share capital of the Applicant Company as approved. by the Shareholders at the Extra-ordinary General Meeting held on September 4, 2024 and such reduction be confirmed by this Hon'ble Tribunal;

b. That the proposed minutes as set out in paragraph 31 be approved as the minutes relating to the reduction of share capital of the Applicant Company so as to make the reduction effective and the Applicant Company may be exempted from inserting the word "and reduced" while describing the capital structure of the Applicant Company.

c. This Hon'ble Tribunal may be pleased to direct the Applicant Company to issue notices to: (i) the Central Government of India (through the Regional Director, Ministry of Corporate Affairs); (ii) Registrar of Companies, Bangalore; (iii) all its unsecured creditors as on A
