ORDER

1) This is a Company Application No.26/252/HDB/2023 filed under Section 252(3) of the Companies Act, 2013 (hereinafter referred to as the ‘Act’) filed by Mrs Indira Reddy Kudumula, D/o.Late Sri K.Jagan Mohan Reddy, Shareholder cum Director of M/s.Rutika Innovations Private Limited (hereinafter referred to as the ‘Company’) inter-alia, seeking direction to the Registrar of Companies, Hyderabad (the ‘RoC’) to restore the name of the Company in the Register of Companies maintained by the Registrar of Companies.

2. The averments made in the Company Application are, briefly as under:-

a) The petitioner named above (hereinafter referred to as the Company) was incorporated in Hyderabad on 12.01.2021 as a Private Limited Company with the name and style as M/s.Rutika Innovations Private Limited under the Companies Act, 2013.

b) The registered office of the company is situated in the State of Telangana at H.No.11-14-224, Road No.10, Haripuri Colony, Near NTR Nagar, Saroornagar, Hyderabad, Rangareddy – 500 035, Telangana which falls under the jurisdiction of the Respondent.

c) The authorised share capital of the company is Rs. 1,00,000/- (Rupees One Lakh only) divided into 10,000 (Ten Thousand equity shares only) each equity share @Rs.10/- (Rupees ten only) each with powers to increase or reduce or alter the same.

d) The issued, subscribed and paid up Capital of the Authorised Share Capital of the company is Rs.1,00,000/- (Rupees One Lakh only) divided into 10,000 (Ten Thousand) equity shares of Rs.10/- (Rupees ten) only each with powers to increase or reduce or alter the same.

e) It is submitted that as per the Balance Sheet for the financial year 2021- 2022, shareholders and shareholding details are mentioned below:

3) Main Objects of the Company:

a) To carry on the business of trading activity retail trade except of motor vehicles and motorcycles, repair of personal and household goods.

b) To pay costs, charges, and expenses and formation, registration and establishment of the company.

c) To lend or deposit monies belonging to or at the disposal of company to such person or company in particular to customers and others having dealings with company with or without security upon such terms as may be thought proper and to guarantee the performance of contracts by such person or company but not to do the business of banking as defined in the banking companies Regulation Act,

d) To subscribe, contribute, pay transfer guarantee money for or to dedicate, donate, present or otherwise dispose of either voluntarily or for value, any moneys or properties of the company to or for the benefit of any national, charitable, benevolent, religious, scientific, public, local, general or useful objects, purposes or institutions or to or for any exhibition or for any purpose which may be considered directly or indirectly to further the objects of the company or the interests of its members. No contributions/donations shall, however, be made to any political party or for any political purpose.

e) To sell, exchange, mortgage let on lease or grant licenses, easements, options and other rights over and in any other manner deal with or dispose of the whole or any part of the under taking property, assets, rights and effects of the company for such consideration as may be thought fit and in particular for stocks shares whether fully paid up, or securities of any other company.
