1. This Present Company Petition has been filed jointly by the Petitioners for sanctioning of the Scheme of Arrangement for

a. Demerger of TRADING DIVISION of SHRISTI RIVERINE LIMITED to MANGALAM CONTRACTORS & BUILDERS PRIVATE LIMITED pursuant to Section 230 to 232 of the Companies Act, 2013 and read together with the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016;

b. Demerger of BROKERAGE & COMMISSION DIVISION of SHRISTI RIVERINE LIMITED to SUNIDHI PROJECTS PRIVATE LIMITED pursuant to Section 230 to 232 of the Companies Act, 2013 and read together with the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016;

c. Demerger of ADVISORY DIVISION of SHRISTI RIVERINE LIMITED to RASMITI INFRA PRIVATE LIMITED pursuant to Section 230 to 232 of the Companies Act, 2013 and read together with the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016;

whereby and where under the entire undertaking of the Demerged Company together with all assets and liabilities relating thereto ongoing concern are proposed to be transferred to and vested in the Resulting Companies with appointed date being 01^st April, 2021 on the terms and conditions fully sta
