ORDER

1. This Present Company Petition has been filed jointly by the Petitioners under Sections230-232 of the Companies Act, 2013 seeking sanction of this Tribunal to a Scheme of Arrangement for

a. Demerger of BROKERAGE & COMMISSION DIVISION of ANANNYA REALTORS PRIVATE LIMITED to MAA KAMAKHYA AAA INFRA PRIVATE LIMITED.

b. Demerger of ADVISORY DIVISION of ANANNYA REALTORS PRIVATE LIMITED to RASMITI INFRA PRIVATE LIMITED.

c. Demerger of TRADING DIVISION of ANANNYA REALTORS PRIVATE LIMITED to STARLING PROJECTS PRIVATE LIMITED.

whereby and where under the entire undertakings of the Demerged Division on a going concern together with all the assets and liabilities relating thereto of the Demerged Division is proposed to be transferred to and be vested in the Resulting Companies on the terms and conditions with effect from the Appointed Date being 01st April, 2021 as mentioned in the Scheme. A copy of the said Scheme of Arrangement has been annexed.

2. It is submitted that the registered offices of all the Petitioner Companies are situated in the State of Assam, within the jurisdiction of this Bench.
