1. This Company Petition is filed on 09.05.2023 by Mr. Vinu Divakaran (hereinafter referred as “Petitioner”) under Section 241 -242 of the Companies Act, 2013 against Tecplix Technologies Private Limited and 4 others (hereinafter referred as “Respondents”) inter-alia seeking the following reliefs:

a. Remove the Respondent No.2 and 3 from the management from the Respondent No.1 Company for their acts of fraud, oppression and mismanagement of Respondent No.1 Company.

b. Reconstitute the Board of Directors by appointing eminent and independent persons in the place of Respondent No.2 and 3 to oversee the winding up of Respondent No.1 Company.

c. Nullify all resolutions passed by the Board of the Respondent No.1 Company which are oppressive to the interest of the minority shareholder i.e., the Petitioner.
