1. This joint company application is filed by the Applicant Companies namely; JRG Healthcare India Private Limited (hereinafter referred to as Transferor Company No.2/Applicant Company) under section 230-232 of the Companies Act, 2013 (hereinafter referred to as ‘Act’), read with Companies (Compromise, Arrangements, and Amalgamations) Rules, 2016, seeking for dispensation with the requirement of convening the meetings of equity shareholders, secured and unsecured creditors of the Transferor Company No.2/Applicant Company for considering and approving with or without modification, a composite scheme of Amalgamation (hereinafter referred as “Scheme”) The copy of the Scheme is annexed as Annexure-1 to the Application. 2.
