ORDER

1. The present Petition has been jointly filed by the Petitioner Companies, under Section 230 to 232 and other applicable provisions of the Companies Act, 2013 praying for sanction of the Scheme of Amalgamation (“Scheme”), Scheme – Annexure- A10 @ pg. 238 to 241 of the petition. amongst M/s. Enhops Solutions Private Limited (Transferor Company) with M/s. Proarch IT Solutions Private Limited (Transferee Company) and their respective shareholders and creditors in terms of the Scheme of Amalgamation.

2. Brief facts of the case:

I. 1^st Petitioner Company / Transferor Company:

i. M/s. Enhops Solutions Private Limited (1^st Petitioner Company/ Transferor Company) was incorporated on 18/08/2015 with CIN: U72300TG2015PTC100314.

ii. The Transferor Company is carrying on the business of providing services of information technology, information systems, Hardware and Software development, A copy of the Memorandum and Articles of Association of the Transferor Company is filed as Annexure- A2 @ pgs.38 to 64 of the Petition.

iii. The authorized, issued, subscribed and paid-up share capital of the Transferor Company as on 30.09.2024 is as follows:
