ORDER
1. This is a second motion Petition filed by BSS Microfinance Limited (hereinafter referred to as the “Petitioner/Transferee Company”) on 19.12.2024 under Sections 230 to 232 of the Companies Act, 2013 , (hereinafter referred to as ‘the said Act’) and other applicable provisions of the said Act read with Companies (Compromises, Arrangements and Amalgamations) Rules, 2016, inter alia seeking for the sanction of Scheme of Amalgamation of Petitioner Companies and their respective Shareholders and Creditors. The Scheme of Amalgamation is placed on record at Annexure - 21 to the Petition.
2. The Petitioner had filed First Motion Application under Sections 230 to 232 of the said Act, 2013 bearing C.A. (CAA) No. 40/BB/2024 wherein vide order dated 05.12.2024 the meetings of the Equity Shareholders and Unsecured Trade Creditor of the Petitioner Company were dispensed with. Since there were nil Secured Creditor, Unsecured Loan Creditor in the Petitioner Company, there was nothing to convene the meeting.
