O R D E R

1. This is an application filed by the Petitioner Company on 10.12.2020 under Section 66 and Rule 2 of the Companies Act, 2013 inter alia seeking reduction of paid-up share capital as resolved by the Special Resolution set out in paragraph 17 (i) & (ii) approved; the amendment of clause V (a) of Memorandum of Association for reduction of Authorised share capital as set out in special resolution as set in paragraph 18 approved.

2. The “Kirloskar AAF Limited, the Petitioner Company was incorporated on 07.07.1992 under the provision of the Companies Act 1956 as a company limited by shares with a share capital, and registered office of the company is situated at 143, C4 (Part), Bommasandra Industrial Area, Bengaluru - 560099. Therefore, the matter lies within the territorial jurisdiction of this Tribunal.

3. A copy of the Memorandum and Articles of Association has been placed on record as Annexure-13 of the petition. The main objects of the Petitioner Company inter alia are as under:
