1. Heard Mr. Thiagarajan, appearing for the Petitioner Companies, Ms. Bindu Vergis, AOL, Representative appearing for the Registrar of Companies, and perused the documents on record.

2. This joint Company Petition has been filed under Section 230 - 232 of the Companies Act , 2013 for sanctioning the scheme of Arrangement Amalgamation of Synthite Industries Private Limited (Petitioner No 1/ Transferor Company) with Botaniam Ventures Private Limited (Petitioner Company-2/Transferee Company 1) and Pure Spaces Hospitality Private Limited (Petitioner Company- 3/Transferee Company 2)and Zenriva Brands Private Limited (Petitioner Company-4/Transferee Company 3), in accordance with the terms of the said Scheme.
