NATIONAL COMPANY LAW TRIBUNAL
SHRI. VINAY GOEL, SMT. MADHU SINHA, JJ
Nikhil Soman – Appellant
Versus
M/s. Eka Visual Concepts Private Limited – Respondent
Companies Act, 2013 | CP(C/Act)/42/KOB/2024
For the Petitioner: Ms. Karthika K. J.
For the Respondents: Mr. M. Thobias Powell, PCS
Minority shareholders seeking to file for oppression must exceed statutory thresholds of shareholding and support to invoke tribunal powers effectively.
Headnote:(A) Companies Act, 2013 - Sections 244 and 241 - Waiver to file application for oppression and mismanagement - Petitioner holds less than 10% of shareholding, not meeting threshold requirements - Allegations of financial mismanagement and lack of transparency cannot substantiate a claim for oppression - Tribunal emphasizes accountability of members in maintaining company affairs. (Paras 2, 8, 12, 20)
(B) Legal Standards for Oppression - Powers of Tribunal include waiving eligibility criteria under Section 244 - Continuous and burdensome conduct must be established for it to be deemed oppressive - No prima facie case of oppression made out. (Paras 6, 9, 17)
Facts of the case:
The Petitioner, a minority shareholder seeking relief against the managing director and company for alleged oppression, fails to garner support from other shareholders and does not meet the shareholding threshold stipulated in the Companies Act.
Findings of Court:
The Tribunal found that the allegations of oppression lacked merit, as they were unsubstantiated and did not meet statutory requirements for filing under the Companies Act.
Issues: The main issue is whether the Petitioner qualifies to apply for remedy under Section 241 of the Companies Act based on shareholding and support from other members.
Ratio Decidendi: The Tribunal ruled that a mere claim of oppression without substantial support or threshold shareholding does not justify waiving the requirements under Section 244; remedies other than under the Companies Act are available to the Petitioner.
Result: Petition dismissed.
