ORDER

1. The captioned Second Motion Petition is preferred by the Petitioner Companies namely; HPCL-Mittal Pipelines Limited (“Petitioner Company No.1/Transferor Company”) and HPCL-Mittal Energy Limited (“Petitioner Company No.2/Transferee Company”), together referred to as “Petitioner Companies” under Sections 230 to 232 of the Companies Act, 2013 read with the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016 and the National Company Law Tribunal Rules, 2016 for the purpose of the approval of the Scheme of Amalgamation of the Transferor Company into the Transferee Company. The copy of the Scheme of Amalgamation (hereinafter referred as the “Scheme”), is annexed as Annexure-A.

2. The Petitioner Companies had filed the First Motion Application bearing no. CA ( A) No. 11/2025 before this Tribunal. Vide Order dated 25.04.2025, the meetings of the Equity Shareholders of the Transferor Company and meetings of the Equity Shareholders, Secured Creditors and Unsecured Creditors of the Transferee Company were dispensed with and directions were issued for convening the meeting of the Unsecured Creditors of the Transferor Company.
