ORDER

1. This is a Joint Application filed on behalf of the Applicants, M/s.Sresta Natural Bioproducts Private Limited (Applicant Company/1^st Transferor Company) and M/s.Wimco Limited (Non- Applicant Company/2^nd Transferor Company) with M/s.ITC Limited (Non-Applicant Company/Transferee Company) under Section 230 and 232 of the Companies Act, 2013 R/W Rule 3 of the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016, inter-alia seeking the following reliefs:

a. To dispense with the requirement of holding of the meeting of the Equity Shareholders of the Applicant Company since all the Equity Shareholders of the Applicant Company have given their consent to the Scheme.

b. To dispense with the requirement of holding of the meeting of the Unsecured Creditors of the Applicant Company.

2. The Registered Offices of the Applicant/Transferor Company 1 is situated in the State of Telangana and Non-Applicant/Transferor Company 2 and Transferee Company are situated in the State of West Bengal.
