1. The present Application has been filed by Vats Technology Private Limited (hereinafter referred to as ‘Company’), represented through its Member/Director Mrs. Pushpa Sharma, under section 252(3) of the Companies Act, 2013 (hereinafter referred to as ‘Act’) praying for restoration of the name of the company on the Register of Companies maintained by the Registrar of Companies, NCT of Delhi & Haryana, Delhi (hereinafter referred to as ‘RoC/Respondent No. 1’).

2. The brief facts as stated in the present application are as follows: i. The Company was incorporated on 27.05.2010 under the provisions of the Companies Act, 1956. The Company has its present registered office at H. no. 391, Sector - 56, Gurgaon, Haryana, India, 122011. The main business of the company as per the Memorandum of Association of the Company is to provide technology consulting services, focusing on design consulting for advanced technology solutions. A copy of Memorandum and Articles of Association of the Company and the Certificate of Incorporation is enclosed as Annexure 2 to the application. Copy of Master Data is enclosed as Annexure 3 to the application.

ii. Due to unforeseen personal hardships, including the sudden demise of the wife of the company's Director, Mr. Hemant Vats, while giving birth to their first child, both Mr. Hemant Vats and his mother, the Applicant, were left in a state of severe emotional distress. They were also responsible for caring for the newborn child who had lost her mother. These circumstances severely affected the health of both Mr. Hemant Vats and the Applicant, rendering it extremely difficult for them to manage the Company.

iii. The decision to strike off was made with the understanding that all obligations and liabilities of the Company were settled prior to this Application. There were no outstanding payments due to creditors, nor were there any legal proceedings pending against the company.

iv. In light of the aforesaid compelling circumstances, and after careful consideration, the directors decided to voluntarily apply for striking off of the company to alleviate any further operational burdens and mitigating the risk of damage to impeccable reputation gained in the consultancy sector.

v. On 04.01.2017, Respondent No. 1 formally notified the company regarding the issuance of a notice for the striking off and dissolution of Vats Technology Private Limited by the RoC. Subsequently, on 26.07.2017, the company received an email from Respondent No. 1 confirming the company's strike-off and dissolution.

vi. Despite the strike-off, the Company continues to hold considerable goodwill in the technology consultancy sector, having successfully collaborated with prestigious clients, including Airtel, Indian Hotels (Taj), Four Seasons, Le Meridian, AMX, HARMAN, and Crestron, among others. A number of these clients have already indicated their eagerness to re-engage the services of the company upon its revival, and thereby, enabling a fertile ground for the company to thrive and succeed in the technology consultancy sector.
