We therefore direct Respondent No. 2 and 3 to complete the statutory audit of the periods starting from FY 2019-20 till date, prepare annual reports, call for the AGM and file the returns with the RoC including the statement of affairs of the Company forthwith.”

Vide separate order pronounced in the open Court, the Petition is disposed of

with the following order:-

“We decline the reliefs to authorize and direct the Respondent No. 5 to

call for information and to inspect the books of accounts of the R1 Company; to direct the Central Government to investigate into affairs of the company upon the receipt of inspection report from Respondent No. 5; to issue Non-Bailable warrants in order to secure the presence of Directors R2 to R4 as per Section 94 of CPC R/w Section 424 of Companies Act, 2013 and to direct the Respondent No. 8 to conduct relevant investigation into the affairs of the R1 Company for alleged Income

Tax evasions.

As regards Statutory compliances to be made by the Respondent Company, it

is seen that as on date, the affairs and management of the Company are with Respondent No. 2 and 3. It is thus incumbent upon the Respondent Company to make
