1. This Application i.e. CA 372/2025 has been filed by Infrastructure Leasing & Financial Services Limited. (“Applicant”) under Rule 11 of the National Company Law Tribunal Rules, 2016 seeking following reliefs:

A. Direct and permit the Indian Applicant Group Companies set out at Annexure 5, Annexure 11, Annexure 15, and Annexure 19 to prepare, finalize and audit their financial statements required under Section 129 of the Act and hold their respective AGMs and present such audited financial statements to the shareholders of the respective company as follows:

a) FY 2020 -2021 - December 31,2025 b) FY 2021 -2022 - December 31,2025 c) FY 2022 -2023 - December 31,2025 d) FY 2023 -2024 - December 31,2025 B. Condone the delay in holding the AGMs for FY 2020 - 2021 for the entities set out in Annexure 6,7 and 8 to the present Application, for FY 2021-2022 for entities set out at Annexure 12 to the Application, for FY 2022-2023 for entities set out at Annexure 16.

C. the term of office for the additional director of the Indian Applicant Group Entities who has been appointed under Section 161(l) of the Act shall stand extended till such extended date for the AGM; and.

D. Direct that no adverse actions including penalties be imposed against the compliant directors/ Nominee directors of the Indian Applicant Group Companies who have defaulted in complying with the statutory obligations and holding the AGMs within the prescribed timeline as per the provisions of the Companies Act, 2013.
