1. This Application has been filed on 09.09.2025 under Section 54 of the Insolvency and Bankruptcy Code, 2016 (the ‘IBC, 2016’) read with Rule 11 of the National Company Law Tribunal Rules 2016 (the ‘Rules, 2016’), by Mrs. Chhaya Gupta, Resolution Professional (the ‘RP’) of the Corporate Debtor seeking for Dissolution of the Corporate Debtor viz., SR Digital TV & Broadband Pvt Ltd.

3. The Main Objects of the CD is to act as an integrated service provider in the telecommunications industry, specifically offering digital television and broadband internet services.

4. The Applicant case in brief is:

a) The Applicant submits that the Adjudicating Authority in CP(IB) 35 (MP) of 2024 vide order dated 25.09.2024 admitted CD into CIRP and appointed the Applicant as the Interim Resolution Professional (the IRP), who was confirmed as Resolution Professional (the RP) in the 1st meeting of the Committee of Creditors (the CoC) held on 29.10.2024 b) Pursuant to the order admitting the CD into the CIRP, the Applicant made a public announcement in Form A dated 02.10.2024, in compliance with Section 15 of the IBC, 2016 read with Regulation 6 of the IBBI (IRP for Corporate Persons) Regulations, 2016, inviting claims from creditors. In response to the public announcement, the Applicant received only one claim from a Financial Creditor, which was duly admitted upon verification and two claims from Operational Creditors, of which one was admitted. c) In the 2nd meeting of the CoC held on 02.12.2024:

The CoC deemed publication of Form G and appointment of a transaction auditor unfeasible. However, valuers were appointed for valuation of the CD securities and financial assets.

d) In the 3rd meeting of the CoC held on 04.02.2025:

The Applicant apprised the CoC of steps taken to realize bank deposits and issue demand notices to the CD debtors.

e) In the 4th meeting of the CoC held on 11.03.2025:

The CoC considered the release of a Fixed Deposit of Rs. 43,84,478.60/- (plus accrued interest) with Kotak Mahindra Bank, provided as 100
