1. This is a Petition filed by the Petitioner Companies under Sections 230 to 232 read with the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016, inter alia seeking sanction of the Scheme of Amalgamation between the Transferor Company and the Transferee Company and their respective shareholders and creditors.

The averments made in the Petition are briefly stated as under

Vance and Health Pharmaceuticals Private Limited (herein after referred as “Transferor Company”) was incorporated on 05.02.1999 under the Companies Act, 1956, bearing CIN U24230TG1999PTC031053, with an Authorised Share Capital of Rs.10,00,00,000/- divided into 10,00,000 equity shares of Rs.100/- each, and an Issued, Subscribed and Paid-up Share Capital of Rs.8,02,77,700/- divided into 8,02,777 equity shares of Rs.100/- each. The audited financial statements for the years ending 31.03.2023 and 31.03.2024. That the main objects of the Transferor Company, as set out in its Memorandum of Association, are to manufacture, refine, purchase, sell, import and export drugs, chemicals, pharmaceutical preparations, intermediates and allied products.
