ORDER

1. This is a Joint Application filed on behalf of M/s.Cymune Cyber Security Services Private Limited (Transferor Company) and M/s. Shi Solutions India Private Limited (Transferee Company (collectively referred as “Applicant Companies” under Section 230 to 232 of the Companies Act, 2013 r/w Rule 3 of the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016, inter-

alia, seeking the following reliefs:

i. To dispense with requirement for convening the meeting of the Equity Shareholders, Secured Creditors, Unsecured Creditors, Debenture Holders and Trade Creditors of the Transferor Company and also to dispense with the requirement of issue and publication of notices for the same.

ii. To dispense with requirement for convening the meeting of the Equity Shareholders, Secured Creditors, Unsecured Creditors, Debenture Holders and Trade Creditors of the Transferee Company and also to dispense with the requirement of issue and publication of notices for the same.

iii. To issue direction for serving notices under Section 230(5) of the Companies Act, 2013 on the Central Government be directed to be issued to the Regional Director – South East Region, at Hyderabad, to the Registrar of Companies, for the State of Telangana, at Hyderabad, the Official Liquidator at Hyderabad, the Income Tax Authorities and such other Authorities, as may be required by the Hon’ble Tribunal.

iv. To dispense with the requirement of serving notices by the Applicant Companies under Section 230(5) of the Companies Act, 2013, on the Securities and Exchange Board of India, the Stock Exchanges, the Reserve Bank of India and the Competition Commission of India for their comments/observations/representations, since the Applicant Companies are unlisted Companies and based on nature of business carried on by the Applicant Companies, no other approval / consent from Industry specific Regulator or Authorities are applicable.

v. Issuing direction for permitting the filing of petition and other applications or documents as may be required, for the purpose of sanctioning the proposed Scheme.
