1) Ms. Purvi, Ld. Counsel for the Applicant is present.

2) The present Interlocutory Application has been filed by the Applicant/Liquidator of the Corporate Debtor and the limited prayer in this Application is for replacement of the Resolution Professional and appointment of Proposed Resolution Professional which is approved by the members of the Committee of Creditors.

3) Record reveals that this Bench, vide order dt. 23.10.2024, initiated Corporate Insolvency Resolution Process against the Corporate Debtor and appointed the Applicant herein as an Interim Resolution Professional (IRP). Pursuant to the said Admission Order, the IRP made a public announcement on 28.10.2024 in accordance with Section 15 of the Insolvency and Bankruptcy Code, 2016 inviting claims from the creditors of the Corporate Debtor. Subsequent thereto, Committee of Creditors has been formed.

4) It is submitted that 9th meeting of Committee of Creditors was held on 02.01.2026, wherein the Applicant apprised the CoC members that Renascence Insolvency Resolution Professionals Pvt Ltd, IPE is currently acting as the Resolution Professional of the Corporate Debtor through its authorized signatory, Mr. Rajkumar Jaiswal, however the IPE is unable to continue the assignment as the Resolution Professional as the IPE is facing procedural difficulty and had therefore requested the CoC to change the present Resolution Professional to Mr. Rajkumar Jaiswal in his individual capacity. The Members of Committee of Creditors has passed the Resolution and the same is quoted below for the convenience and ready reference:-

“RESOLVED THAT pursuant to section 27 of the Insolvency & Bankruptcy Code, 2016 the approval of the Committee of Creditors be and is hereby accorded to consider and approve the appointment of Rajkumar Jaiswal (IBBI Registration No.: Registration No. IBBI/IPA001/IP-P-02598/2021-2022/13975) as Resolution Professional of the corporate debtor to conduct the further CIRP process of the corporate debtor and be paid a remuneration of INR 2,00,000 per month plus applicable taxes in addition to total out of pocket expenses as may be incurred by him during the course of this process and such cost shall form a part of Corporate Insolvency Resolution Process Cost.

RESOLVED FURTHER THAT, Renascence Insolvency Resolution Professionals Pvt Ltd, Resolution Professional through its authorized signatory Mr. Rajkumar Jaiswal be and is hereby authorized to file any application, written statement or reply before the Mumbai Bench of the National Company Law Tribunal, pertaining to the appointment of Mr. Rajkumar Jaiswal as the Resolution Professional in the matier of the corporate insolvency resolution process of Kaved Realty Private Limited and on behalf of the members of the Committee of Creditors for Kaved Realty Private Limited.”

5) The Committee of Creditors with 100% of voting has approved the appointment of Mr. Rajkumar Jaiswal, Insolvency Professional as the Resolution Professional of the Corporate Debtor.

6) Mr. Rajkumar Jaiswal, having Insolvency Registration No.

IBBI/IPA-001/IP-P-02598/2021-2022/13975, has also given his written consent in “FORM AA”, to act as the Resolution Professional of the Corporate Debtor. The said FORM AA, is also annexed with the present Interlocutory Application as Exhibit
