O R D E R

As Per RADHAKRISHNA SREEPADA, Member (Technical)

1. The Company Petition has been filed on 12.11.2024 with following prayers a. Order and direct the Respondent No. 1 to recognize the transfer of 100 shares of the Respondent No. 1 Company held under Share Certificate No. 00073496, Folio No. TEM06314, bearing distinctive numbers 0013317911 to 0013318010 and all the entitlements/ benefits/ profits arising out of the said shares in favour of the Petitioner;

b. In the alternative to (a), Order and direct the Respondents to dematerialize and/ or facilitate the dematerialization of 100 shares of the Respondent No. 1 Company held under Share Certificate No. 00073496, Folio No. TEM06314, bearing distinctive numbers 0013317911 to 0013318010 and all the entitlements/ benefits/ profits arising out of the said shares and transfer the same in favour of the Petitioner;

c. Order and direct the Respondent No. 1 to rectify its Register of Members such that the name of the Petitioner is reflected as a shareholder of the Respondent No. 1 Company in respect of 100 shares of the Respondent No. 1 Company held under Share Certificate No. 00073496, Folio No. TEM06314, bearing distinctive numbers 0013317911 to 0013318010 and all the entitlements/benefits/profits arising out of the said shares;

d. Order and direct the Respondents to disclose by way of an affidavit details of all the entitlements/ benefits/ profits arising out of or attached to the 100 shares of the Respondent No. 1 Company held under Share Certificate No. 00073496, Folio No. TEM06314, bearing distinctive numbers 0013317911 to 0013318010;

e. For such other reliefs that this Tribunal may in the interest of justice deem necessary.

2. Facts of the case & Submissions of the Petitioner

1. Respondent No. 4 was the original owner of 100 shares of Respondent No. 1 held under Share Certificate No. 00073496, Folio No. TEM06314, bearing distinctive numbers 0013317911 to

0013318010 (“said Shares”)

2. The Petitioner purchased the said Shares from Respondent No. 4 for valuable consideration. For this purpose, Respondent No. 4 executed Share Transfer Form No. 04862 dated 04.07.1993 under which Respondent No.4 had duly transferred to Petitioner.
