J U D G M E N T

1. That the instant Application is being preferred by the Resolution Professional, Mr. Ashok Kumar Gulla, (“RP”) of M/s Carnival Films Pvt. Ltd. seeking permission to place on record the judgment dated 16.01.2026 passed by the Hon’ble NCLAT, in the matter of M/s- Cine-Corp Filmdom Pvt. Ltd. Vs. Mr. Ashok Kumar Gulla, Resolution Professional of M/s Carnival Films Pvt. Ltd. & Ors Company Appeal (AT) (Ins) No. 1614 of 2025, for passing necessary orders in terms thereof.

2. Ld. Counsel for the Applicant submits that this Tribunal initiated Corporate Insolvency Resolution Process (“CIRP”) against M/s Carnival Films Pvt. Ltd. vide order dated 22.03.2024. Thereafter, M/s Cine-Corp Filmdom Pvt. Ltd. (“SRA”)

submitted the final Resolution Plan for the Corporate Debtor dated 10.04.2025.

3. It is submitted that the Committee of Creditors (“CoC”) approved the SRA’s Resolution Plan in its 20th meeting which was held on 12.04.2025 with a voting share of 93.31%. The same was approved by this Tribunal vide order dated

28.08.2025 passed in IA/2 (Plan) (MP) 2025.

4. It is further submitted by the Ld. Counsel for the Applicant that while approving the Resolution Plan, this Tribunal [in paragraph 25] prescribed the below-reproduced condition, in addition to the terms of the Resolution Plan: -

25. The Resolution Plan is approved subject to the following additional conditions:

Form H notes that the Corporate Debtor has at present funds lying in the current account of around Rs 20.0 crores and states that the same is sufficient to meet the Insolvency Resolution Process Cost and Liquidation Cost, if any. The Tribunal directs that these funds shall be used for the business of the Corporate Debtor and only funds contributed by the RA as per Resolution Plan should be used to pay all the creditors as per the submitted Plan. The Monitoring Committee should monitor that the funds are not misused during the monitoring period.

5. It is submitted by the Ld. Counsel for the Applicant that the SRA has challenged the said plan order before the Hon’ble National Company Law Appellate Tribunal (“NCLAT”) through a Company Appeal (AT) (Ins) No. 1614 of 2025 assailing the Plan Approval Order limited to the extent it imposed the additional condition of not utilizing the funds available in the CD’s account towards satisfaction of CIRP cost and payment to the creditors.
