ORDER

(Physical Hearing This application has been filed by the RP of Corporate debtor viz Regen Infrastructure and services Private Limited under Section 60(5) of Insolvency and Bankruptcy Code 2016 r/w Rule 11 of NCLT Rules 2016 seeking the following reliefs, a) To direct the Respondents to clear the outstanding O&M dues of Rs.6,50,14,587/ -

b) Pass such further or other orders as may be deemed fit and proper in the facts and circumstances of the case and thus render justice.

FACTS OF THE CASE

1. The Applicant Regen Infrastructure private limited was admitted to CIRP vide order dated 19.02.2020 in IBA/1424/2019. M/s. Regen Powertech Private Limited ("RPPL"), and M/s. NSL Wind Power Company (Kayathar) Private Limited ("NSL Kayathar") entered into an Operation and Maintenance Agreement dated 09.01.2014 (hereinafter referred to as "O&M").

2. It is stated that Business Transfer Agreement dated 05.03.2014 was executed between RPPL and RISPL, therefore all the rights and obligations of RPPL under the O&M was transferred to its wholly owned subsidiary, RISPL and RISPL was required to provide the operation and management services to the first respondent. Pursuant to mutual consent among the parties, this assignment took effect from 01.04.2015 and it is stated by the applicant that second Respondent is the Promoter of the RISPL holding 41.08% shares through RPPL by virtue of his personal holding and indi
