Court lacks authority to stay a winding up petition under Companies Act when concurrent actions are pending.

Introduction

[1] Enclosure 10 dated 19 April 2019 is the Respondent's (Perkasa Jauhari Sdn Bhd) application for stay of winding up proceeding in encl 1 (dated 25 February 2019) pending the disposal of the Johor Bahru High Court Civil Suit No: JA-22C-1-06/18 between the Petitioner and the Respondent or until further order from this Honourable Court pursuant to s 470(1) Companies Act 2016 and under O 92 r 4 Rules of 2012.

[2] For convenience, I will refer to the parties according to the titles assigned to them in this Court

Brief Facts

[3] It is pertinent to set out briefly the chronology of events in order to appreciate the factual matrix of the case.

[4] In May 2018, the Petitioner (a contractor appointed by Respondent) initiated an adjudication proceeding against the Respondent. On 1 August 2019 the Adjudicator (Revantha Sinnetamby) delivered her decision in favour of the Petitioner.

[5] In the Adjudication Decision, the Adjudicator made the following order:

1) Bahawa Planitif diberi kebenaran untuk menguatkuasakan Keputusan Adjudikasi bertarikh 1 August 2018 yang diisukan oleh Revantha Sinnetamby ("Keputusan Adjudikasi) seolah-olah Keputusan Adjudikasi tersebut adalah penghakiman atau perintah Mahkamah Tinggi;

2) Bahawa Keputusan Adjudikasi tersebut dilaksanakan oieh Plaintif terhadap Defendan mengikut peraturan-peraturan peiaksanaan perintah-perintah atau penghakiman-penghakiman Mahkamah Tinggimengikut terma-terma Keputusan Adjudikasi seperti berikut:

a) Bahawa Responden/Defendan membayar Pemohon/Plaintif jumlah adjudikasi sebanyak RM2,363,028.92 (tidak termasuk cukai jualan dan perkhidmatan) pada atau sebelum lima (5) hari bekerja daripada tarikh keputusan ini ("The Respondent / Defendant to pay the adjudicated amount of RM2}363,028.92 (exclusive of Sales and Service Tax) on or before a date five (5) working days from the date of this award");

b) Cukai Jualan dan Perkhidmatan (SST) harus dibayar pada masa yang sama sebagaimana yang diperuntukkan di bawah undang- undang tertakluk bahawa Plaintif adalah berdaftar dengan Jabatan Kastam Diraja Malaysia untuk mengutip SST ("Sales and Service Tax (SST) shall be paid at the same time as may be required by law provided that the Plaintiff is registered with the Royal Malaysian Customs Department to collect SST");

c) Jumlah adjudikasi dan SST harus dibayar secara pemindahan elektronik bank kepada akaun bank yang dicalonkan oleh Plaintif/Pemohon secara bertulis ("The adjudicated amount and SST shall be paid by electronic bank transfer to the bank account nominated by the Plaintiff/Claimant in writing").

d) Bahawa Responden/Defendan membayar Pemohon/Plaintif jumlah faedah sebanyak RM46,613.17 sebagai pembayaran tertunggak bagI tempoh yang berakhir pada 1 August 2018 pada atau sebelum lima (5) hari bekerja daripada tarikh keputusan ini melalui pemindahan elektronik bank kepada akaun bank yang dicalonkan oleh Plaintif / Pemohon secara bertulis ("The Respondent / Defendant to pay the amount of RM46,613.17 as interest on overdue payments for the period ending on 1 August 2018 on or before a date five (5) working days from the date of this decision by electronic bank transfer to the bank account nominated by the Piaintiff/Claimant in writing");

e) Bahawa Responden/Defendan membayar Pemohon/Plaintif faedah mudah daiam kadar 5% setahun yang dikira daripada lima (5) hari bekerja daripada tarikh keputusan ini sehingga tarikh bayaran penuh segala jumlah yang diaward kepada Pemohon/Plaintif ("The Respondent/Defendant to pay the Claimant/Plaintiff simple interest at the rate of 5% per annum from the date 5 working days from the date of this decision until the date of payment on all overdue amounts awarded to the Claimant/Plaintiff in this d
