[Companies (Post Winding-Up) No: BA-28PW-34-03/2021 & Companies (Winding-Up) Petition No: BA-28NCC-177-04/2015]
The court upheld the Liquidator's authority in waiving a debt during an online voting meeting, rejecting claims of procedural irregularities.
Headnote:(A) Companies Act 2016 – Sections 486 and 510 – Applicants seek to set aside waiver resolution concerning debt owed by Banting Sawit Enterprise – Legal fees of RM900,000 deemed excessive without supporting documentation. (Paras 1, 18, 26).

Facts of the case: Applicant challenged the Liquidator's authority in waiving debt and questioned the validity of the virtual Committee of Inspection meeting held on 18 January 2021.
Findings of Court: Court found no merit in the Applicant's objections, determining that the Liquidator acted within his powers and that the voting procedure was valid.
Issues: Whether the waiver resolution was valid considering the procedural complaints raised by the Applicant.
Ratio Decidendi: The court emphasized that resolutions passed by majority in the COI meeting are binding and that the Liquidator had provided satisfactory explanations for their decisions.
Result: Enclosure dismissed with costs ordered.
