Introduction

[1] The Plaintiff and the 1st Defendant had entered into a joint venture agreement (JVA) dated 13 May 2019. The terms of which are produced herein:-

1. Coverage Area and Duration

BBCSB shall register and/or cause to be registered your company with Petronas as a cleaning service provider and procure a cleaning services contract for you from KLCC (KLCC Contract) on the following terms and conditions:

a. Contract period shall be for 5 years (with an option to renew for a further 3 years) which results in a total 8 years;

b. The related area for such cleaning services is indoor the KLCC Mall of approximately 500,000.00 sq. feet and BBCSB shall ensure that the rate for the said services shall not be less than RM 1.90 per sq. ft per month.

c. BBCSB undertakes to ensure that the contract is procured and executed by the parties within 4 months from the date of acceptance by SMF.

d. The registration fees for registration for vendor services with KLCC and/or Petronas of RM38,000.00 has been paid by SMF, which is duly acknowledged receipt of the same.
