[1] This is the Plaintiff's claim for inter alia a declaration that the Scheme of Arrangement ("SOA") as sanctioned and approved by the Shah Alam High Court vide an Order dated 19 March 2013 is valid and binding and for an order that the sale and purchase agreement dated 5 January 2015 ("SPA") in respect of the property held under title HS(D) No 111037, PT No 32947, Pekan Baru Subang, Daerah Petaling, Negeri Selangor ("the property") be specifically performed.

[2] In response, the 4th and 5th Defendants counterclaim inter alia for the following orders:

i. declaration that Plaintiff's nomination as the nominee of the 4th Defendant pursuant to a letter dated 8 December 2014 ("the nomination letter/the nomination") is null and/or void and/or has been revoked.
