[1] Plaintif melalui surat tawaran bertarikh 21 Februari 2007 telah menawarkan pembiayaan Al Bai Bithamin Ajil [BBA] kepada Elite Palms Industries Sdn Bhd ["Peminjam"] berjumlah RM23 juta. Kemudahan BBA ini bagi membiayai sebahagian kos membina sebuah kilang memproses buah kelapa sawit di atas tanah seluas 30 ekar di Mukim Tawar, Daerah Baling, Kedah Darul Aman.

[2] Pinjaman BBA ini juga tertakluk kepada dua (2) "Assest Purchase Agreement" bertarikh 18 Julai 2007 [eks "A-2" dan "A-13" afidavit sokongan plaintif]. Selanjutnya defendan telah menggadaikan tanahnya sebagai gadaian pihak ketiga yang dikenali sebagai Geran 91577, Lot 5247, Bandar Sungai Petani, Daerah Kuala Muda, Kedah Darul Aman [Tanah itu] bagi tujuan kemud
