HIGH COURT MALAYA KUALA LUMPUR
EURO GANGSA SDN BHD – Appellant
Versus
IMAGE FRONTIER SDN BHD & ANOR – Respondent
[Civil Suit No: 22NCC-1760-11/2012]

Parties must substantiate claims of misrepresentation with specific particulars; failure to follow contractual obligations results in loss of claims for damages.

Headnote:(A) Specific Relief Act 1950 - Section 18 - Contract Law - Dismissal of the Plaintiff's claim for specific performance and allowance of the Defendants' counterclaim for RM519,580; the Plaintiff failed to demonstrate readiness to perform under the Agreement and alleged breaches by the Defendants remained unproven. (Paras 33, 37, 60-61)

(B) Misrepresentation - Elements must be specifically pleaded and proved; the Plaintiff's claims of fraudulent misrepresentation and sabotage against Defendants were unsubstantiated. (Paras 67-68)

(C) Contractual Obligations- Court held that the Plaintiff's abandonment of the mine site constituted a breach of contract, negating the entitlement for damages and specific performance. (Paras 54-58)

Facts of the case:
The Plaintiff entered into an Agreement with the 1st Defendant for mining operations which the latter countered, asserting that the Plaintiff failed to comply and abandoned the project, justifying the counterclaim.

Findings of Court:
The court found that the Plaintiff was not willing to perform the contractual obligations and had abandoned the site, thereby allowing the Defendants' counterclaim and dismissing the Plaintiff's claims.

Issues: The primary issues revolved around the validity of specific performance, the assertion of misrepresentation, and claims for damages including counterclaims against the deposit.

Ratio Decidendi: The court determined that specific performance could not be granted due to the Plaintiff's non-compliance and the agreement's context, and it reinforced that allegations of fraud must be substantively backed by evidence.

Result: Plaintiff's claims dismissed; Defendants' counterclaim allowed for RM519,580.

[1] After a full trial, this Court had dismissed the Plaintiff's claim and allowed the Defendants' counterclaim in the sum of RM519,580.00.
