AWARD

Award ini mengandungi dua permohonan. Pada 18 September 2002, mahkamah telah mendengar permohonan pihak menuntut untuk perintah-perintah seperti berikut:

a.Nama syarikat seperti yang disebutkan di atas di dalam perkara ini ditukar ganti kepada Affin Bank Bhd.

b.Lain-lain perintah dan relif tambahan yang mahkamah ini fikir adil dan munasabah.

Permohonan pihak menuntut bagi permohonan ini disokong oleh affidavit yang diikrarkan oleh pihak menuntut sendiri pada 17 September 2002. Di dalam affidavit pihak menuntut telah menyatakan:

Para 4:Pada 30 Ogos 2000, BSN Commercial Bank (M) Bhd telah menandatangani suatu Perjanjian Jual Beli Perniagaan dengan Affin Holdings Berhad dan Affin Bank Berhad. Dengan perjanjian tersebut perniagaan perbankan dan segala liabiliti BSN Commercial Bank (M) Bhd diambil-alih oleh Affin Bank Berhad.

Para 5:Melalui satu perintah Mahakamah Tinggi Kuala Lumpur Originating Summons No: D9-24-321-2000 bertarikh 18 Disember 2000, Mahkamah Tinggi telah mengesahkan pengambil-alihan perniagaan perbankan oleh Affin Bank Berhad yang berkuatkuasa pada 1 Januari 2001.

Menurut perintah Mahkamah Tinggi tersebut, dinyatakan beberapa perkara yang releven kepada tuntutan pihak menuntut, inter-alia :-

Para 2:In order to facilitate and give effect to the said Agreement, that on and from the Completion Date without the need for any further act by the Transferor or Transferee, save where otherwise provided herein:-

2(b)All LIABILITIES (as defined in the said Agreement) shall be transferred to and assumed by the Transferee, and the Transferor shall cease to be liable in respect of all such LIABILITIES;

2(f)All the Transferor's branches' liabilities in respect of the BUSINESS (as defined in the said Agreement) shall be transferred to and assumed by the Transferee, and the Transferor shall cease to be liable in respect of all such liabilities save and except as otherwise specified in the said Agreement;

2(g)Any existing instrument, whether in the form of a deed, will or otherwise, or order of any court, under or by virtue of which any property title and/or liability in respect of the BUSINESS (as defined in the said Agreement) became vested in the Transferor, shall be construed and have effect as if for any reference therein to the Transferor there were substituted with reference to the Transferee;

2(h)Any agreement in respect of the BUSINESS (as defined in the said Agreement) (to the extent that it is still in force or has any effect) to which the Transferor was a party, have effect as if the Transferee had been a party thereto instead of the Transferor;

2(n)Where any right or liability of the Transferor in respect of the BUSINESS (as defined in the said Agreement) is transferred to the Transferee, for the Transferee to have the same rights, powers and remedies (and in particular the same rights and powers as to taking and resisting legal proceedings or making or resisting applications to any authority) for ascertaining, protecting or enforcing that right or resisting that liability as if it had at all times been a right or liability of the Transferee, including those rights or liabilities in respect of any legal proceedings or applications to any authority pending immediately before the Completion Date by or against the Transferor;

2(p)All legal proceedings, arbitration, tribunal and other proceedings in connection with the BUSINESS (as defined in the said Agreement), which are pending immediately preceding the Completion Date and in or to which the Transferor is a party may be continued as if the Transferee had been a party thereto instead of the Transferor.

Atas pengambil-alihan di atas, perkhidmatan pihak menuntut dengan BSN Commercial Bank telah ditamatkan melalui surat bertarikh 10 Januari 2001 atas alasan khidmatnya menjadi redundant.

Oleh kerana pengambil-alihan dan perintah Mahkamah Tinggi, segala liabiliti BSN Commercial Bank (M) Bhd diambilalih oleh Affin Bank Bhd.

Atas alasan ini, mahkamah menurunkan award supaya Affin Bank Bhd
