Inability to finance a contract does not invoke frustration if no fundamental change in obligations occurs.
Headnote:This judgment examines the contract validity and obligations in a real estate transaction. The court determined that the plaintiff's claim for refund due to non-approval by shareholders was unfounded as the contract wasn’t frustrated by financial inability. Key statutes discussed include the Securities Industries Act and Contract Act. The final ruling affirmed the defendant's entitlement to the forfeiture of the deposit and further damages.
