JUDGMENT

Raja Ahmad Mohzanuddin Shah J:

Preliminary

[1] In the Originating Summons dated 4 October 2024 [Encl 1], the plaintiff seeks, amongst others, to set aside the private caveats entered into by the defendant on three (3) properties registered in the plaintiff's name with the defendant as the beneficial owner.

[2] Here are the prayers in the Originating Summons, in its original version:

(a) Bahawa tiga (3) Kaveat Persendirian yang dimasukkan oleh Defendan adalah salah, tidak berkesan dan tidak sah di sisi undang-undang:

(i) Melalui No Perserahan:

PTB4055/2024 yang didaftarkan pada 7 Ogos 2024 yang mengikat tanah terletak di bawah Geran Hakmilik Strata Geran Mukim 7338/M 1/15/105, Lot 63112, Mukim Batu, Daerah Kuala Lumpur, Negeri Wilayah Persekutuan Kuala Lumpur;

(ii) Melalui No Perserahan:

PDB12765/2024 yang didaftarkan pada 1 Ogos 2024 yang mengikat tanah terletak di bawah Geran Hakmilik GRN 57449, Lot 60268, Mukim Batu, Daerah Kuala Lumpur, Negeri Wilayah Persekutuan Kuala Lumpur; dan

(iii) Melalui No Perserahan:

PDB16039/2023 yang didaftarkan pada 11 Oktober 2023 yang mengikat tanah yang terletak di bawah Geran Hakmilik Geran 59981, Lot 46911, Mukim Kuala Lumpur, Daerah Kuala Lumpur, Negeri Wilayah Persekutuan Kuala Lumpur.

(b) Satu Perintah supaya Kaveat-kaveat tersebut yang mengikat hartanah-hartanah tersebut dan semua Kaveat Persendirian lain yang dimasukkan oleh Defendan tanpa pengetahuan Plaintif yang mengikat hartanah-hartanah seperti yang tertera dalam JADUAL A dengan ini dibatalkan dan dimusnahkan dengan serta merta;

(c) Satu Perintah supaya Pendaftar Hakmilik Geran Tanah dan Galian, Wilayah Persekutuan Kuala Lumpur dengan ini mengambil semua langkah dan tindakan dan melakukan semua perkara yang perlu dan wajar supaya mematuhi dengan memberi kesan penuh kepada perintah Mahkamah Yang Mulia ini;

(d) Satu Perintah supaya segala hartanah-hartanah dalam JADUAL A (yang akan dinilaikan oleh seorang Jurunilai Bebas), akaun, dan hutang (yang terhutang antara Plaintif dan Defendan) seperti yang tertera dalam JADUAL B (selepas ini dirujuk sebagai "Cadangan Penyelesaian) yang akan dibahagikan secara sama rata antara Plaintif dan Defendan;

(e) Defendan membayar kepada Plaintif ganti rugi yang dialami oleh Plaintif akibat pengekalan Kaveat-kaveat tersebut di mana gantirugi tersebut akan ditaksirkan oleh Mahkamah Yang Mulia ini;

(f) Kos untuk bersampingan dengan Saman Pemula ini ditanggung dan dibayar secara sama rata oleh Plaintif dan Defendan;

(g) Kebebasan untuk memohon; dan

(h) Lain-lain relif yang difikirkan patut dan adil oleh Mahkamah Yang Mulia ini.

Background Facts

[3] During the last two decades, the plaintiff and the defendant ("parties") acquired a number of immovable and landed properties.

[4] To achieve these goals, two companies have been formed, namely Unit One Associates Sdn Bhd and Unit One Design Sdn Bhd There is equal ownership of these companies between the parties.

[5] What had once been a close friendship between the plaintiff and the defendant began to deteriorate in 2016. However, they vowed not to allow it to hinder their business relationships. Due to the parties' interests and in order to maintain and protect the investment, they decided on 9 June 2016 to enter into a Deed of Mutual Understanding.

[6] The purpose of the Deed of Mutual Understanding was, amongst others, to outline the parties' agreement and reaffirm the defendant's beneficial ownership position of 50% shares in all properties jointly purchased by the parties, including Setiabestari, Kiaramas Cendana and Changkat Kiara ("3 Properties").

[7] As part of their agreement, the parties agreed to, amongst others:

(a) The parties purchased numerous immovables and/or landed properties for investment purposes, either jointly, in the plaintiff's sole name, or in the name of a company established by the parties;

(b) The parties must settle and pay for their immovable properties equally through cash payments or loans financed by the bank, and the loan would continue to b
